Please read these terms and conditions carefully before using Horizon Vista's IoT monitoring services.

1 Acceptance of Terms

By accessing or using Horizon Vista's IoT monitoring platform and services (the "Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you (either an individual or entity) and Horizon Vista regarding your use of the Service.

2 Service Description

Horizon Vista provides IoT device monitoring, data collection, analytics, and alerting services. Our Service allows you to:

  • Register and manage IoT devices including temperature sensors, humidity sensors, cellular gateways, and industrial panels
  • Monitor device status, connectivity, and performance metrics in real-time
  • Configure threshold-based alerts and notification rules
  • Receive notifications via email, SMS, and WhatsApp when alert conditions are met
  • Access historical device data and analytics
  • Manage multi-tenant workspaces and user permissions

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice to users.

3 Account Registration

To use the Service, you must create an account and provide accurate, complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breach
  • Ensuring your contact information (email, phone number) is current for receiving alerts

You may not share your account credentials or allow others to access your account. We reserve the right to suspend or terminate accounts that violate these Terms.

4 Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service in any way that violates applicable laws or regulations
  • Attempt to gain unauthorized access to any portion of the Service, other accounts, or connected systems
  • Interfere with or disrupt the Service or servers/networks connected to the Service
  • Transmit any malicious code, viruses, or harmful data through the Service
  • Use the Service to send spam, unsolicited messages, or fraudulent communications
  • Reverse engineer, decompile, or attempt to extract source code from the Service
  • Exceed rate limits or deliberately overload the Service infrastructure

5 Data and Privacy

We take data security and privacy seriously. Our handling of your data is subject to our Privacy Policy, which is incorporated into these Terms by reference.

Your Data: You retain all rights to data generated by your IoT devices. We use this data solely to provide the Service to you.

Data Security: We implement industry-standard security measures including:

  • Encryption of data in transit and at rest using AWS KMS
  • Envelope encryption for multi-tenant data isolation
  • Secure authentication with JWT validation
  • Row-level security policies on database access
  • Regular security audits and monitoring

Data Retention: We retain device data according to your subscription plan (typically 30 days raw data, 90 days hourly aggregates, 365 days daily aggregates).

Data Processing: By using the Service, you consent to the processing of device data for monitoring, alerting, analytics, and service improvement purposes.

6 Device Monitoring and Alerts

Alert Configuration: You are responsible for configuring notification preferences for your devices. We will send alerts based on your configured notification rules when pre-set threshold conditions are met.

Alert Delivery: We make reasonable efforts to deliver alerts promptly via your selected channels (email, SMS, WhatsApp). However, alert delivery depends on third-party services and network conditions beyond our control.

No Guarantee: While we strive for reliable monitoring and alerting, we do not guarantee:

  • 100% uptime or uninterrupted service
  • Instantaneous alert delivery
  • Detection of all device failures or anomalies
  • Accuracy of predictive analytics or forecasts

7 Service Availability

We target 99.9% uptime but the Service is provided "as is" and may be subject to:

  • Scheduled maintenance (with advance notice when possible)
  • Emergency maintenance or security updates
  • Temporary outages due to circumstances beyond our control
  • Third-party service dependencies

We will make reasonable efforts to minimize downtime and provide status updates during service disruptions.

8 Fees and Payment

Subscription Fees: Certain features of the Service require a paid subscription. Fees are charged according to your selected plan and billing cycle.

Payment Terms:

  • All fees are non-refundable except as required by law
  • You authorize us to charge your payment method on file

Usage-Based Charges: Additional charges may apply for:

  • SMS notifications beyond included quota, if activated
  • WhatsApp messages beyond included quota, if activated
  • Premium support services

9 Limitation of Liability

DISCLAIMER: THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

LIABILITY LIMITATION: TO THE MAXIMUM EXTENT PERMITTED BY LAW, HORIZON VISTA SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Failure to receive alerts or notifications
  • Device malfunctions, connectivity issues, or data loss
  • Damages resulting from reliance on the Service for critical applications
  • Third-party service failures (cellular carriers, email providers, messaging services)

MAXIMUM LIABILITY: Our total liability to you for all claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

Critical Systems: You acknowledge that the Service is not designed or intended for use in safety-critical, life-support, or emergency applications. You assume all risks associated with such use.

Indemnification: You agree to indemnify and hold Horizon Vista harmless from any claims, damages, or expenses arising from your use of the Service, your devices, or violation of these Terms.

10 Termination

Your Right to Terminate: You may terminate your account at any time through the dashboard settings. Upon termination:

  • Your access to the Service will be disabled
  • No refunds will be provided for unused subscription time
  • You may export your data before termination
  • Your data will be retained according to our data retention policy

Our Right to Terminate: We may suspend or terminate your access to the Service immediately if:

  • You violate these Terms or our Acceptable Use Policy
  • Your account is inactive for more than 12 months
  • Payment is past due beyond the grace period
  • We detect fraudulent, abusive, or illegal activity
  • Required by law or regulatory authority

Effect of Termination: Upon termination, all licenses and rights granted to you under these Terms will immediately cease. Sections of these Terms that by their nature should survive termination will remain in effect.

11 Changes to Terms

We may modify these Terms at any time. When we make material changes, we will:

  • Update the "Last Updated" date at the top of these Terms
  • Notify you via email or through the Service dashboard
  • Provide at least 30 days notice before changes take effect

Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service and may terminate your account.

We recommend reviewing these Terms periodically to stay informed of any updates.

General Provisions

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where Horizon Vista is registered, without regard to conflict of law principles.

Dispute Resolution: Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with applicable arbitration rules, except where prohibited by law.

Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

Entire Agreement: These Terms, together with our Privacy Policy and any other legal notices published by us, constitute the entire agreement between you and Horizon Vista concerning the Service.

No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Assignment: You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.

Acknowledgment

By using Horizon Vista's IoT monitoring services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree to these Terms, please do not use our Service.
